Affiliate Program Terms

The WotAI Affiliate Program ("Program") allows approved participants ("Affiliates") to earn commissions by referring new customers to WotAI's workshops and services. The Program is operated through the Tolt platform (tolt.io), which handles tracking, reporting, and commission management.

By joining the Program, you agree to these Terms and Conditions, as well as any policies set forth in the Tolt affiliate portal.

To participate in the Program, you must:

• Be at least 18 years of age
• Be legally capable of entering into binding contracts
• Not reside in a jurisdiction subject to sanctions or where participation is prohibited by law
• Complete the affiliate application and be approved by WotAI
• Comply with Tolt's KYC/AML verification requirements

WotAI reserves the right to reject or terminate any application at its sole discretion, including applications involving content that is illegal, deceptive, violent, discriminatory, or otherwise inappropriate.

Commissions are calculated on the net collected revenue from qualified purchases made by referred customers. A "qualified purchase" is a completed, non-refunded transaction from a new customer who:

• Clicked your unique affiliate link within the 30-day cookie window
• Was not previously a WotAI customer
• Completed payment in full
• Did not request a refund within the refund period

• Commissions are paid monthly, on or around the 1st of each month, for the previous month's qualified sales
• A minimum balance of $100 USD is required before payout is processed
• Payments are made via Wise (formerly TransferWise) to the account you provide in your affiliate dashboard
• You are responsible for providing accurate payment details and for any fees charged by your financial institution
• Commissions are held for 30 days after a sale to account for potential refunds or chargebacks

Affiliates may promote WotAI using the following methods:

• Personal websites, blogs, and content platforms with original content
• Social media accounts (personal or business) with genuine followers
• Email newsletters to subscribers who have opted in
• YouTube, podcasts, and other content channels
• Paid advertising (except as restricted in Section 6)
• Online communities where self-promotion is permitted

The following activities are strictly prohibited and may result in immediate termination and forfeiture of commissions:

When promoting WotAI:

• Use only approved logos, images, and marketing materials provided in the affiliate portal
• Do not modify, alter, or create derivative versions of WotAI branding
• Represent WotAI accurately and professionally in all communications
• Do not imply employment, partnership, or official endorsement beyond the affiliate relationship

Either party may terminate participation in the Program at any time, for any reason, with or without notice.

Upon termination:

• You must immediately cease all promotional activities using WotAI branding
• Pending commissions that have cleared the 30-day hold period and meet the minimum payout threshold will be paid
• Commissions for transactions completed after termination will not be paid
• WotAI may withhold commissions if termination is due to violation of these Terms

Affiliates are independent contractors, not employees of WotAI. You are solely responsible for:

• Reporting and paying all applicable taxes on commission income
• Providing accurate tax documentation (W-9 for US affiliates, W-8BEN for international affiliates) as required
• Compliance with tax laws in your jurisdiction

WotAI may be required to report affiliate earnings to tax authorities and may request tax documentation before processing payouts.

Participation in the Program creates no vested right or expectation of future earnings. WotAI makes no guarantees regarding potential income from the Program.

To the maximum extent permitted by law, WotAI's liability to any Affiliate is limited to the amount of commissions actually owed and unpaid at the time of any claim.

WotAI reserves the right to modify these Terms, commission rates, cookie duration, or any aspect of the Program at any time. Changes will be communicated via email or through the affiliate portal.

Continued participation in the Program after changes constitutes acceptance of the modified Terms.

These Terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to conflict of law principles.

Any disputes arising from these Terms or participation in the Program shall be resolved exclusively in the state or federal courts located in Los Angeles County, California.
